Version: December 2025This is a summarized English version of our German Allgemeine Geschäftsbedingungen (AGB). The legally binding version is the German one published at minenity.com/agb. All contracts between the client and 21 Strategy GmbH are governed exclusively by German law. In case of any doubt or conflict between the language versions, the German text prevails.
§ 1 Scope
1.1 These terms and conditions (hereinafter “Terms”) govern the contractual relationship between 21 Strategy GmbH, operating under the brand Minenity(hereinafter “Minenity”), and its clients (hereinafter “Client”). They apply to all contracts related to the sale of servers (ASIC miners) and the associated hosting services.
1.2 The term “server” refers to all products offered by Minenity, in particular ASIC miners (Application-Specific Integrated Circuits) used for processing blockchain transactions.
1.3 The term “hosting contract” refers to an individual agreement between Minenity and the Client on the operation and management of servers in a data center. Specific terms (location, operating costs, liability) take precedence over these Terms where they contain different provisions.
§ 2 Conclusion of contract
2.1 Prices and product descriptions published on the website are informational only and do not constitute a binding offer.
2.2 The binding offer is made via an invoice issued by Minenity following a personal consultation with a representative.
2.3 The purchase contract is concluded when the Client has paid the full amount stated in the invoice.
2.4 There is no right of withdrawal under distance-selling rules, since the products are subject to market price fluctuations (§ 312g (2) No. 8 German BGB).
§ 3 Prices and payment
3.1 The prices stated on the website are net and informational. They may be subject to market fluctuations.
3.2 Payment is always made in advance via bank transfer or cryptocurrencies, as agreed in the individual offer.
3.3 In case of non-payment, Minenity may unilaterally terminate the contract and sell the goods to a third party.
§ 4 Delivery and hosting
4.1 The hardware is considered delivered when the miner is installed in the relevant data center (US or Asia) and operational, unless shipping to the Client's address has been agreed.
4.2 Standard installation timelines: 24 hours for the US, 72 hours for Asia, counted from receipt of the hardware at the data center.
§ 5 Ownership and risk
5.1 Ownership of the hardware passes to the Client upon full payment and delivery.
5.2 The risk of loss or damage to the hardware passes to the Client upon installation of the miner in the data center.
§ 6 Warranty
6.1 The German statutory warranty applies. For ASIC miners, typically 12 months manufacturer warranty.
6.2 The warranty does not cover damage caused by improper use, unauthorized firmware modifications, or third-party interventions.
§ 7 Liability
7.1 Minenity is liable without limitation for intent and gross negligence, as well as in cases provided for by the German Product Liability Act.
7.2 Liability for minor damages is limited to those that are foreseeable and typical for the contract.
7.3 Minenity is not liable for the economic profitability of bitcoin mining, since this depends on external factors (BTC price, network difficulty, halving, regulation).
§ 8 Data protection
Personal data is processed in accordance with the GDPR and our Privacy Policy.
§ 9 Final provisions
9.1 German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
9.2 Place of performance and jurisdiction is Berlin, Germany, provided the Client is a merchant or has no general jurisdiction in Germany.
9.3 The contract language is German. This English version is informational.
9.4 If any clause is invalid, the remaining provisions remain in force.
